OD88 contained herein, the parties agree as follows: NON-EXCLUSIVE BEAT LICENSE AGREEMENT This Non-Exclusive Beat License Agreement is made and entered into as of the Effective Date of payment and between "OD88", ("Licensor"), and the Artist/Licensee ("Licensee"). WHEREAS, Licensor owns all rights in and to the instrumental musical composition (the "Beat") titled [MONTANA]; and WHEREAS, Licensee desires to obtain a non-exclusive license to use the Beat for the purpose of creating a new sound recording (the "New Master Recording" or "Song") and distributing it under the terms herein. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows: 1. The Beat and The License Fee 1.1. The Beat: The instrumental track titled [MONTANA] with a tempo of [147] BPM and key of [F Minor]. 1.2. License Fee: Licensee shall pay Licensor a non-refundable fee of [$30.00 USD] ("License Fee") immediately upon execution of this Agreement. This fee is a lease payment for the usage limits specified in Section 2. 2. Permitted Uses and Limitations The Licensee is granted a non-exclusive right to use the Beat to create one New Master Recording and synchronize the Beat with their own vocals, subject to the following maximum usage limits: Audio Streams (Non-Interactive): Up to 25,000 total streams across all platforms (e.g., Spotify, Apple Music, YouTube Content ID, etc.). Physical Sales: Up to 5,000 physical copies (CDs, Vinyl, etc.). Downloads (Paid): Up to 5,000 digital downloads (iTunes, Bandcamp, etc.). Music Videos: One (1) official music video. Live Performances: Allowed, subject to the terms in Section 4.If any of these limits are exceeded, this license terminates, and the Licensee must upgrade to an Unlimited or Exclusive License from Licensor. 3. Ownership and Publishing 3.1. Beat Ownership: Licensor (OD88) retains 100% ownership and copyright of the underlying Beat composition and master recording. 3.2. New Master Recording Ownership: Licensee retains 100% ownership of their newly recorded vocals (the "New Master Recording"). 3.3. Publishing Splits: Licensor (OD88): 50% Licensee (Artist): 50% 3.4. PRO Registration: Both parties mutually agree to track income streams. Licensee agrees to use a distributor capable of automated royalty splitting. Parties will notify each other when affiliated with a PRO to properly register the 50/50 split. 4. Live Performances and Gigs 4.1. Performance Royalties: Distributed according to Section 3.3. 5.1. Mandatory Credit: “Produced by OD88” or “Beat by OD88”. 5.2. Promotional Use: Licensor may use Licensee’s name, likeness, and a short snippet for promotional purposes. Release notifications must be sent to audiowavedynasty@gmail.com. 6. Termination: This Agreement terminates immediately upon breach. Licensee must cease all distribution of the Song upon termination. TERMS AGREED AND ACCEPTED BY: Licensor (OD88) Licensee (Artist) The Parties acknowledge that they have read, understood, and agree to be bound by all the terms and conditions outlined in this Non-Exclusive Beat License Agreement. BY SUBMITTING PAYMENT, you are officially accepting all terms outlined in the agreement above., the Parties acknowledge receipt of sufficient consideration, agree to the payment terms, and accept this document as a legal and binding contract.
